Terms of service
The rules for using dirumed.com and the Dirumed application, in plain language with no buried fine print.
Who you are contracting with
Dirumed is a product built and operated by MTM CYA Corp, trading as MTM Cofounders & Associates (“MTM”), a company incorporated in the United States. Wherever these terms say “we”, “our”, or “Dirumed”, the contracting party is MTM CYA Corp. You can find the company and its other products at mtmcya.com.
MTM operates several of its own software products. Each has its own terms: accepting these does not bind you to another group product’s terms, or the reverse. MTM may provide the service through affiliated companies or its own personnel without altering your rights or our obligations to you.
Acceptance
By using dirumed.com or creating a Dirumed account you accept these terms. If you accept on behalf of a practice, clinic, or institution, you confirm you have authority to bind it and “you” means that organisation. If you disagree with any part, do not use the service.
These terms, together with the privacy policy, the data-processing addendum, and any plan-specific conditions you accept at purchase, form the entire agreement between the parties. In case of conflict, the agreement signed with your clinic prevails, then the plan-specific conditions, then these terms.
What Dirumed is
Dirumed is a cloud electronic medical record: patients, consultations, prescriptions, scheduling, and billing in one place. It is a tool that supports the running of your practice. The service is provided on an evolving basis: we add and improve features continuously, and may change or retire functionality with reasonable notice where the change is material. Some features may be offered in beta; those are provided without warranty and may change or disappear.
Dirumed does not practise medicine, does not issue diagnoses, and does not replace your professional judgement. No feature of the product — including the AI ones — constitutes medical, legal, tax, or accounting advice. Clinical responsibility for every decision remains entirely with the healthcare professional who makes it.
Accounts and responsibility
Using Dirumed requires an account. In creating one you agree to:
- Provide accurate information about your identity and professional licensing, and keep it current.
- Safeguard your credentials and share them with no one, inside or outside your team.
- Be responsible for activity under your account and under the staff accounts you invite, and for the permissions you grant them.
- Be at least 18 and legally able to enter a contract.
- Tell us promptly if you notice unauthorised use of your account.
Role-based permissions exist so each person sees only what they need. Configuring them correctly is part of your duty as controller of the medical record.
Plans and billing
Plans are sized by the clinic’s active patients, not by number of users. Administrative staff and assistants are unlimited and free on every plan; the first doctor is included and each additional doctor is discounted.
- Gratis — $0, up to 30 active patients, a single doctor. No expiry.
- Consultorio — $8 per doctor per month, up to 150 active patients.
- Práctica — $15 per doctor per month, up to 500 active patients.
- Clínica — $29 per doctor per month, up to 1,500 active patients.
On sign-up you get 30 days of the Práctica plan at no cost and without entering a card. When the trial ends, if you have not chosen a paid plan the account moves to the free plan; nothing is charged automatically.
Paid plans are charged in advance at the start of each cycle, monthly or annually, and renew automatically until you cancel. Annual billing charges twelve months at the price of ten. Prices exclude tax; applicable taxes are added at invoice and are your responsibility. Each clinic in a group operates as an independent account with its own billing.
We may change prices with at least 30 days’ notice. New pricing takes effect at your next renewal, so you can always cancel before it reaches you.
Payments are handled by third-party providers; we do not store full card details. If a charge fails we will retry and tell you; if it still does not complete, we may limit paid features until the account is brought up to date. If you exceed your plan’s active-patient limit we will tell you so you can choose: move up a plan, or keep your volume within the limit.
Cancellation and portability
Cancel any time from your account settings. Cancellation takes effect at the end of the cycle you have already paid for: access continues until then and no further charge is made. We do not refund cycles already begun unless applicable law requires it.
We never hold your information hostage. After cancellation you have at least 90 days to export complete medical records in a standard, readable format. Once that period passes we may delete them from our systems, unless applicable health regulations require longer retention.
The medical record belongs to your patient and your clinic
Medical records, prescriptions, studies, and other content you enter into Dirumed belong to your patients and your practice, not to us. You grant us only the licence needed to host, process, and display that content to you as part of the service. We do not sell that data, do not share it with other clinics, do not use it for advertising, and do not train third-party models on it.
For data-protection purposes, you or your clinic are the controller of the medical record and Dirumed acts as processor: we handle that data solely under your documented instructions and the data-processing addendum. You are responsible for obtaining patient consent where the law requires it, for the accuracy of what you record, and for complying with the health regulations of your jurisdiction.
We may use aggregated, anonymised data — which cannot identify any patient, professional, or clinic — to measure product performance and improve it.
About the AI features
Paid plans include AI-assisted features. The technology is useful but not infallible: it can summarise a note badly, omit a detail, or propose incorrect text. Its output is an aid to drafting and organising, never a diagnosis, a prescription, or a clinical recommendation.
Review and validate any automatically generated content before adding it to a medical record, issuing a prescription, or making a care decision. That verification is the healthcare professional’s sole responsibility.
Acceptable use
In using Dirumed you agree not to:
- Enter unlawful content, or information you have no legal basis to process.
- Attempt to access accounts, records, or systems that are not yours.
- Reverse-engineer the service, or extract data in bulk by automated means.
- Resell, transfer, or sublicense access to third parties without our written consent.
- Deliberately overload the infrastructure or interfere with its operation.
- Use the service in breach of applicable sanctions or export controls.
We may suspend or close accounts that break these rules. Where reasonable we will warn you first and give you a chance to put it right; where the breach poses an immediate risk to data security, to others, or to the service, suspension may be immediate. Even then we guarantee the access needed to export medical records.
Third-party services
The service depends on external providers for hosting, email, payments, and processing. We do not control those services and are not responsible for their availability or their terms: your use of them is governed by their own terms. If a third party stops providing something a feature depends on, we may change or withdraw that feature with reasonable notice.
Regulatory compliance
Dirumed is built to follow the technical safeguards of the U.S. HIPAA standard — access control, audit, integrity, and transmission security — and encrypts data in transit and at rest. That is an architectural decision, not a certification: your practice’s regulatory compliance also depends on your internal processes, your training, and the health and data-protection rules of your jurisdiction. If you need a specific data-processing agreement, write to us and we will look at it.
Intellectual property
The software, the Dirumed brand, the product design, and its documentation belong to MTM CYA Corp. These terms grant you a personal, limited, revocable, non-exclusive, non-transferable right to use the service, not ownership of any of those. Third-party and open-source components remain subject to their own licences.
If you send us suggestions, ideas, or comments about the product, we may use and act on them freely, with no obligation to compensate you or keep them confidential.
Availability and warranties
We work to keep the service available and backed up, but do not guarantee uninterrupted or error-free operation. There may be maintenance windows, third-party provider incidents, or outages outside our control. To the extent permitted by law, the service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
For that reason we recommend keeping a contingency procedure for seeing patients during an outage. An electronic medical record does not relieve a clinic of its continuity-of-care plan.
Indemnity
If a third party brings a claim against us over content you entered, over your use of the service in breach of these terms, over a clinical decision made by your team, or over an infringement of third-party rights attributable to you, you agree to hold us harmless and to cover the resulting damages, costs, and reasonable defence expenses. We will tell you about the claim promptly and you may take part in its defence.
Limitation of liability
To the fullest extent permitted by law, our total liability to you is limited to the amount you paid us in the twelve months preceding the event giving rise to it. We are not liable for lost profits, lost data, lost opportunities, or indirect, incidental, special, punitive, or consequential damages, even if we were advised they were possible.
Nothing here excludes liability for wilful misconduct, gross negligence, personal injury, or anything else the law does not permit us to limit. If you contract as a consumer, you keep every right your national law gives you.
Termination
You may stop using Dirumed at any time. We may suspend or end your access if you break these terms, if the law requires it, or if we discontinue the service — in which case we would give you at least 90 days’ notice so you can export medical records and migrate calmly. On termination your right to use the service ends; clauses that by their nature should survive (intellectual property, confidentiality, indemnity, limitation of liability, governing law) remain in force.
Resolving disputes
Before starting any action, both parties agree to try to resolve the dispute in good faith: write to us describing the problem, and we will have 30 days to find a solution. If no agreement is reached, the dispute will be settled by binding arbitration under the rules of a recognised arbitral institution in the applicable jurisdiction.
This clause does not stop either party from bringing a qualifying claim in small-claims court, or from seeking injunctive relief to protect intellectual property or data security. If you contract as a consumer, arbitration is binding only where your national law allows it; otherwise you keep the right to go to the courts of your domicile.
Governing law
These terms are governed by the laws of the United States of America and of the state in which MTM CYA Corp is organised, excluding their conflict-of-law rules. If you are a consumer or professional resident in Venezuela, elsewhere in Latin America, or in the European Union, this clause does not deprive you of the protection of mandatory rules in your country of residence, including health and data-protection rules.
Force majeure
Neither party is liable for a failure caused by circumstances reasonably beyond its control: natural disasters, conflict, widespread network or power outages, acts of authority, or serious infrastructure-provider failures. The obligation is suspended while the cause lasts and resumes when it ends.
General provisions
The formalities that rarely matter, until they do:
- Assignment: you may not assign this agreement without our written consent. We may assign it to an MTM group company or in connection with a corporate transaction, leaving your rights intact.
- Severability: if a clause is held invalid, it is replaced by the valid clause closest to its purpose and the rest stays in force.
- No waiver: not exercising a right on one occasion is not a waiver of it later.
- Notices: we will write to the email on your account or notify you in-app; such a message counts as received.
- Independence: these terms create no employment, partnership, agency, or franchise relationship between the parties.
Changes to these terms
If we change these terms we will update the date shown above. Material changes will be announced by email or in-app at least 30 days ahead. Continuing to use the service after that date means you accept them; if you disagree, you can cancel before they take effect.
